1. Acceptance of Terms
By accessing or using the Medora platform or https://medoras.com, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.
2. Acceptable Use
You agree not to:
- Use the services in violation of any applicable law or regulation;
- Access data you are not authorized to access, or attempt to bypass security controls;
- Interfere with or disrupt the integrity or performance of the services;
- Reverse engineer, copy, or resell any part of the services except as permitted by law;
- Upload malicious code or use the services to transmit unlawful or infringing content.
3. Account Responsibilities
You are responsible for maintaining accurate account information, safeguarding authentication credentials, and all activity that occurs under your account. You must promptly notify us of any unauthorized use or suspected security incident at security@medoras.com.
4. Customer Data and PHI
As between the parties, customers retain all rights to the data they submit, including protected health information (PHI). Medora processes PHI as a Business Associate under the applicable Business Associate Agreement, which governs in the event of any conflict with these Terms regarding PHI.
5. Intellectual Property
The Medora platform, website, software, and all associated intellectual property are and remain the exclusive property of Medora Health, Inc. and its licensors. These Terms do not grant you any right, title, or interest in the services other than the limited right to use them in accordance with these Terms.
6. Warranty Disclaimer
Except as expressly stated in a written agreement, the services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Medora does not provide medical advice, and clinical decisions remain the responsibility of licensed providers.
7. Limitation of Liability
To the maximum extent permitted by law, Medora and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the services. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Term and Termination
These Terms remain in effect while you use the services. We may suspend or terminate access for violation of these Terms or to protect the security and integrity of the platform. Provisions that by their nature should survive termination will survive.
9. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless otherwise agreed in a written agreement.
10. Changes to These Terms
We may modify these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.
